Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Investor Strides (“the Platform,” “we,” “us”), operated by Investor Strides, LLC. By creating an account, you agree to these Terms. If you do not agree, do not use the Platform.

Investor Strides is a virtual portfolio tracking and performance verification tool. It is not a brokerage, investment adviser, trading simulator, or social network. No real money is invested, no real securities are bought or sold, and no investment advice is provided.

You must be at least 18 years old and capable of entering into a binding agreement. By creating an account, you represent that you meet these requirements.

If you are employed by an investment firm, you are solely responsible for ensuring your use of the Platform complies with your employer's policies, including any restrictions on outside activities, personal trading disclosures, or confidentiality obligations.

You may create one account. Each account supports up to three portfolios. You are responsible for maintaining the security of your login credentials and for all activity under your account.

Authentication is provided through a third-party service. We are not responsible for issues arising from that service, though we will make reasonable efforts to maintain reliable access.

The Platform operates according to a defined set of rules governing portfolio construction, order execution, performance calculation, and corporate action handling. These rules are described in detail on our Platform Methodology page, which is incorporated into these Terms by reference.

By using the Platform, you agree to operate within these rules. You acknowledge that you cannot override, circumvent, or manipulate the Platform's execution logic, pricing sources, or performance calculations. Any attempt to do so is a violation of these Terms.

Investor Strides is an actively developed product. We may modify, suspend, or discontinue any feature of the Platform at any time, including portfolio limits, report formats, supported securities, or methodology implementation details, provided that material changes will be reflected in the Platform Methodology or these Terms where applicable.

We will make reasonable efforts to communicate significant changes in advance, but we do not guarantee that every feature, interface, or capability available today will remain available in the future.

Trades cannot be backdated or inserted retroactively. Executed trades cannot be modified or deleted. Performance data is calculated from the recorded order history and official market data — not from user-supplied inputs. Reports are generated by the system, not composed by users.

You agree not to attempt to manipulate, falsify, or misrepresent any data on the Platform, including through automated tools, API exploitation, or any other means.

The Platform allows you to generate verified performance reports covering any date range within your portfolio's history. These reports are delivered as downloadable files and may also be sent from an official @investorstrides.com email address.

“Verified” means that the report is produced directly from the Platform's recorded data — order history, execution prices, and official market data — without user editing. It does not mean that we verify the quality, intent, or real-world scalability of your investment decisions.

You are responsible for how you use and share these reports. If you are employed at an investment firm, we strongly recommend excluding trades from the most recent 90 days to avoid potential conflicts with your employer's confidentiality policies. The Platform is designed to help your career, not create risk for it.

No reliance by third parties

Platform-generated reports are informational tools only. Any employer, allocator, recruiter, or other third party reviewing a report is solely responsible for its own evaluation of the user, the report, and the relevance of the reported performance. Investor Strides does not endorse, certify, or guarantee any user's investment skill, judgment, or suitability.

You agree not to:

• •Use the Platform for any unlawful purpose
• •Attempt to gain unauthorized access to any part of the Platform or its systems
• •Reverse-engineer, decompile, or attempt to extract source code from the Platform
• •Interfere with or disrupt the Platform's infrastructure or other users' access
• •Create multiple accounts to circumvent portfolio or usage limits
• •Use automated means to scrape or crawl the Platform without our written consent
• •Misrepresent a Platform-generated report as reflecting real-money performance

We reserve the right to suspend or terminate your account if you violate these Terms.

All content, design, code, data structures, and branding associated with Investor Strides are owned by Investor Strides, LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose.

Your portfolio data and trade history belong to you, subject to our right to store and process it as needed to operate the Platform and in accordance with the immutability principles described in Section 6 and our Privacy Policy.

If you provide suggestions, ideas, or feedback regarding the Platform, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation to you.

The Platform uses third-party market data providers for pricing, FX rates, and corporate action information. While we make reasonable efforts to ensure accuracy, we do not guarantee that market data will be error-free, complete, or available without interruption.

In cases where data is unavailable — for example, due to exchange holidays or provider outages — orders may remain pending until valid data is available. We do not fabricate or estimate prices.

The Platform is currently offered at no cost. We reserve the right to introduce paid features, subscription plans, or usage-based fees in the future. If we do, we will notify you in advance and provide clear terms before any charges apply.

If paid plans are introduced, subscription fees may auto-renew unless cancelled before the renewal date. Paid fees are non-refundable except as required by applicable law.

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. Your portfolios and track record are private by default. We do not share your performance data with third parties unless you explicitly choose to generate and distribute a report.

The Platform is provided “as is” and “as available.” We make no warranties, express or implied, regarding the Platform's fitness for a particular purpose, accuracy, reliability, or uninterrupted availability.

Investor Strides is not a registered broker-dealer, investment adviser, or financial institution. Nothing on the Platform constitutes investment advice, a recommendation, or a solicitation to buy or sell any security. Virtual portfolio performance does not predict or guarantee real-world investment results.

We are not responsible for decisions you make based on your use of the Platform, including career decisions, investment decisions, or representations made to employers or allocators using Platform-generated reports.

To the maximum extent permitted by applicable law, Investor Strides, LLC and its officers, employees, and contractors shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform. Our total aggregate liability for any claim arising from or related to these Terms or the Platform shall not exceed the greater of (a) the total amount you have paid to Investor Strides, LLC in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).

You may close your account at any time by contacting us. Upon closure, your personal identifying information will be handled in accordance with our Privacy Policy.

We may suspend or terminate access to the Platform if you violate these Terms, engage in activity that threatens the security or integrity of the Platform, create legal risk for us or other users, or if we discontinue the Platform or a portion of its services, in each case with notice where reasonably practicable.

Historical track records are retained as part of the Platform's integrity model, but we do not guarantee perpetual user access, uninterrupted hosting, or indefinite availability of any specific interface, export format, or service feature.

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top. If changes are material, we will notify you via email or through the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, conducted in Wilmington, Delaware, or at a location mutually agreed upon.

Notwithstanding the foregoing, either party may bring a claim in small claims court if the claim qualifies. Either party may also seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or to address misuse of the Platform.

You agree to resolve disputes individually and waive any right to participate in a class action or class-wide arbitration.
